These Terms of Service (the "Terms") govern your access to and use of the CloudGate platform ("CloudGate", "the Platform", "we", "us"). By creating an account, subscribing to a service, or otherwise using the Platform, you agree to these Terms. If you are using CloudGate on behalf of an organization, you confirm that you are authorised to bind that organization to these Terms.
1. What CloudGate is
CloudGate is a unified, multi-cloud infrastructure management platform. It provides a curated marketplace, a single control plane for the lifecycle of cloud resources (create, start, stop, resize, delete), consolidated cost tracking, and an audit trail — across Amazon Web Services, Microsoft Azure, Google Cloud, Oracle Cloud, Alibaba Cloud, and Apache CloudStack based clouds.
CloudGate is a management layer. It is not itself a cloud provider, and it does not resell or replace the native consoles of the underlying providers.
2. Accounts, organizations, and tenants
- You are responsible for the accuracy of the account information you provide and for keeping your credentials confidential.
- Access is governed by role-based permissions. An administrator of your organization may grant, change, or revoke your access at any time.
- Where CloudGate is operated as a multi-tenant service, your organization's data is scoped to its tenant and is not accessible to other tenants.
- You must notify us promptly if you believe an account or credential has been compromised.
3. Your cloud accounts and service keys
CloudGate provisions and manages resources inside cloud accounts that you own and control, using the API credentials ("service keys") that you supply. Accordingly:
- You remain the customer of record of each underlying cloud provider, and your agreement with that provider continues to apply to everything CloudGate creates on your behalf.
- You are responsible for the permissions granted to a service key. A key with broader permissions than a task requires increases the impact of any error or misuse.
- Service keys are encrypted at rest. You may rotate or revoke them at any time; doing so may interrupt operations already in progress.
- You are responsible for all activity performed with your service keys through the Platform.
4. Subscriptions, provisioning, and lifecycle
- Placing an order authorises CloudGate to provision the selected resources in the availability zone, region, and configuration you chose.
- Provisioning is asynchronous. A subscription may remain in a pending state while work is queued and executed, and may fail for reasons originating with the underlying cloud provider (quota limits, capacity, invalid configuration, credential expiry).
- Where a service offers a custom size or capacity, the limits shown at order time are the limits enforced. The underlying provider may apply its own additional limits.
- Deleting a subscription instructs the deletion of the resources it manages. Deletion is generally irreversible and may destroy data. Take your own backups before deleting.
5. Pricing, billing, and invoices
- Prices are shown per hour or per month, in the currency displayed at the time of order, and exclude taxes unless stated otherwise.
- Costs are aggregated daily. An estimate shown before ordering is an estimate; the invoice is calculated from actual recorded usage.
- Prices may change. A change applies from the date it takes effect and does not retroactively alter usage already billed.
- Charges raised directly by an underlying cloud provider against your own cloud account are a matter between you and that provider.
6. Acceptable use
You must not use CloudGate to:
- break any applicable law or regulation, including export-control, sanctions, and data-protection law;
- gain or attempt to gain unauthorised access to any system, account, tenant, or data that is not yours;
- interfere with the integrity or performance of the Platform, or circumvent quotas, limits, or access controls;
- host or distribute malware, or conduct attacks against third parties;
- resell or expose the Platform to third parties as your own service without our written agreement.
We may suspend access where we reasonably believe there is a security risk, a breach of these Terms, or a legal obligation to do so. Where practicable we will tell you first.
7. Availability and support
We work to keep CloudGate available and reliable, but the Platform is provided without any guarantee of uninterrupted or error-free operation unless a separate written service-level agreement applies to you. Planned maintenance will be announced in advance where reasonably possible.
Availability of the underlying cloud providers is outside our control and is governed by their own terms.
8. Your data and content
You retain all rights in the data and content you place in your cloud accounts. We claim no ownership of it. We process account, subscription, and operational data as described in the Privacy Policy.
9. Intellectual property
The Platform, including its software, interfaces, and documentation, remains our property or that of our licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Platform while your account is active. You may not copy, decompile, or create derivative works from the Platform except to the extent that restriction is prohibited by law.
10. Liability
To the fullest extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of revenue, or loss of data arising from your use of the Platform. Nothing in these Terms excludes liability that cannot lawfully be excluded.
11. Suspension and termination
You may stop using CloudGate at any time. We may suspend or terminate access for material breach of these Terms, for non-payment, or where required by law. On termination, resources in your own cloud accounts remain yours and remain your responsibility to manage or remove.
12. Changes to these Terms
We may update these Terms. The "last updated" date above reflects the current version. Material changes will be communicated through the Platform. Continuing to use CloudGate after a change takes effect means you accept the updated Terms.
13. Contact
Questions about these Terms can be raised through the support section of the Platform.
